Please read this document carefully.  Tagi (Pty) Ltd (“Tagi”) offers an online search through its website located at Tagi.tv (the “Tagi Site”, the “Tagi Service”).  By subscribing as a member or by making use of the Tagi Site in any way, you accept these Terms of Agreement (“Agreement”) which forms a binding agreement between you and Tagi.  If you do not wish to be bound by this Agreement, do not make use of the Tagi Site.

1.         Age Restriction

You must be older than 18 years to use the Tagi Service.  Some of the content within the Tagi Service may contain material that is not suitable to be viewed by minors.

2.            Membership

To make use of the Tagi Service, you must register and have a paid up account with Tagi.  On registration you must provide complete and accurate information and you must notify Tagi of any changes to your information.

Membership duration is expressed on the invoice at the time of purchase.

Membership is limited to one production house and when production houses are part of a larger legal entity, membership will be on a single production house basis. 

Each production house is allocated 5 passwords and sharing of passwords to persons outside the employ of the production house is strictly prohibited.  Tagi reserves the right to terminate a membership without refund if it is determined that the passwords have been shared without express consent.

3.            Content Restrictions

3.1       Videos, images, text, audio recordings or other work (collectively “content”) viewed on the Tagi Site in many instances will be done by Tagi’s webpage importing the content from an external website and the content will be framed on Tagi’s Site with a reference made to the source of the content which in many instances will be a reference to the copyright holder of the content.

3.2       You may not reproduce, redistribute, sell, create derivative works form, decompile, reverse engineer or disassemble any of the content without first obtaining permission and the right to do so from the copyright holder of the content.

4.            Disclaimers

4.1       Tagi reserves the right to modify the Tagi Service. You are responsible for providing your own access (e.g., computer, mobile device, Internet connection, etc.) to the Tagi Service. Tagi has no obligation to screen or monitor any content and does not guarantee that any content available on the Tagi Service complies with this Agreement or is suitable for all users or that the content is referenced to the correct copyright holder.

4.2       Tagi provides the Tagi Service on an “as is” and “as available” basis. You therefore use the Tagi Service at your own risk. Tagi expressly disclaims any and all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of fitness for a particular purpose, non-infringement, and any other warranty that might arise under any law. Without limiting the foregoing, Tagi makes no representations or warranties:

4.2.1    that the Tagi Service will be permitted in your jurisdiction; or

4.2.2    that the Tagi Service will be uninterrupted or error-free;

5.            Limitation of Liability

To the fullest extent permitted by law:

5.1       Tagi shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data or other intangible losses; and

5.2       Tagi’s total liability to you shall not exceed the amounts paid by you to Tagi over the twelve (12) months preceding your claim(s).

6.            General Provisions

6.1            Governing Law: This Agreement shall be governed by the laws of the Republic of South Africa, without regard to principles of conflicts of law.

6.2            Disputes: Any action arising out of or relating to this Agreement or your use of the Tagi Service must be commenced in the Republic of South Africa.
